• We recommend that you use both banner ads and text ads to maximize traffic coming to your site.
• Our banner accounts will be published at or near the top of our network pages and also can be placed anywhere else on the web page.
• You may place ads with graphics and/or text ads, we also do custom ads a setup cost is involved.
• Web sites that utilize nude, obscene, tasteless or offensive material will not be accepted. No exceptions.
• We respect and value each member of our banner ads and advertising network. But we reserve the right to reject, disable or edit rates on any account where our rules, terms, spam, and privacy policy is neglected with out notice. Where there are low click rates, we will use other third party partners to generate positive exposure and increase traffic to advertisements.

• Our banner management team will investigate immediately and remove it from rotation. We do not welcome too suggestive, tasteless, obscene, confusing or offensive banners, but sometimes it is difficult to satisfy all of our exchange members. Even if the banner has been approved previously, we will review it again to ensure that it falls within the guidelines for acceptable banner advertising.

ACCEPTANCE OF TERMS

Use of the UGOADZ banner ads network indicates that you accept these Terms of Service (TOS). If you do not accept these Terms of Service, then do not register or use Ugoadz.com. Ugoadz.com reserves the right to modify these Terms of Service at any time without notification to our members. DESCRIPTION OF SERVICE

Ugoadz.com provides advertising services via its banner network for websites in English language. Ugoadz.com offers banner ads advertising programs, buys ad space and provides paid advertising. (Coming Soon! Members using the free banner exchange network may gain traffic by exchanging their ad space for the ad space on other websites participating in the program.) (Coming Soon! Members willing to generate extra revenue can sell their ad space through the system. Exchange members can use earned impressions in real time or accumulate them for sale or later use. At any time members can start or stop accumulating the impressions, release them to power their own banner campaigns or sell accumulated impressions. Clients willing to buy additional advertising do not have to register for the free banner exchange program, and they can buy it directly from our sales office without having to post banner codes on their websites. )

YOUR REGISTRATION OBLIGATIONS

You represent that you are of legal age to form a binding contract and you also agree to provide accurate information about yourself, your website and your payment instructions and maintain and promptly update such data to remain true and accurate.

MEMBER ACCOUNT, PASSWORD AND SECURITY

You are responsible for maintaining the confidentiality of your password and account, and are fully responsible for all activities that occur under your password or account. You agree to immediately notify Ugoadz.com of any unauthorized use of your password or account or any other breach of security, and you must ensure that you logout from your account at the end of each session. Ugoadz.com cannot and will not be liable for any loss or damage arising from your failure to comply with this section.

COMMUNICATION

Ugoadz.com reserves a right to communicate with its members via email regarding important issues pertaining to their accounts including but not limited to: payment confirmations, account information changes notifications, technical problems, security issues, banner imagery issues, system upgrades, new and updated service features, etc.

PAYMENTS

Payments for sold banner impressions will be issued by Ugoadz.com upon any member's request according to the payment instructions for the amount of earned balance of $100 or more. To ensure proper payment, you are solely responsible for providing and maintaining accurate contact and payment information associated with your account. You are responsible for paying your own applicable taxes and fees. Payment shall be calculated solely based on records maintained by Ugoadz.com. No other measurements or statistics of any kind shall be accepted by Ugoadz.com or have any effect under this TOS. Ugoadz.com makes no guarantee regarding the amounts of any payment to be made to you under these Terms Of Service. Ugoadz.com reserves a right to reject purchasing impressions, for example in the case of violating TOS or poor traffic quality on the member's pages or websites.

PROPERTY RIGHTS

You hereby represent and warrant to us and our advertisers that you are either the owner, permitted licensee, or are otherwise expressly authorized to use all of the member property and any other proprietary rights which you propose to associate with Ugoadz.com. You hereby indemnify us, our officers, directors, employees, representatives, services, and agents and partners and our advertisers with respect to any suit, claim or proceeding brought against us or our sponsors alleging that any use of, or association with, any member property or related material contained on the member's web site(s), or otherwise furnished by the member, constitutes an infringement of any proprietary right.

INDEMNITY

Members agree use the services provided by Ugoadz.com at their own risk. Ugoadz.com, its administrators, partners, owners, employees and sponsors cannot be held liable for any damage or loss of information that may occur from the use of the services of Ugoadz.com. The administrators of Ugoadz.com do not make any guarantees regarding the dependability, accuracy, or timeliness of the services of Ugoadz.com. You agree to indemnify and hold Ugoadz.com and its subsidiaries, affiliates, officers, agents, co-branders or other partners, and employees, harmless from any claim or demand, including reasonable attorneys' fees, made by any third party due to or arising out of content you submit or make available through our service, your violation of the TOS, or your violation of any rights of another.

TERMINATION

You agree that Ugoadz.com may, under certain circumstances and without prior notice, terminate your account and access to the service. Cause for such termination shall include, but not be limited to: breaches or violations of the Terms of Service, requests by law enforcement or other government agencies, a request by you (self-initiated account deletions), unexpected technical or security issues or problems or extended periods of inactivity. If you wish to cancel your Ugoadz.com account - submit your cancellation request using the contact form on the site and include your account login and name. Upon resigning his or her membership, the member agrees to remove all references and links to Ugoadz.com from the member's web site.

LINKS

The Service may provide, or third parties may provide, links to other World Wide Web sites or resources. Because Ugoadz.com has no control over such sites and resources, you agree that Ugoadz.com is not responsible for the availability of such sites or resources, dose not endorse and is not responsible or liable for any content, advertising, products, or other materials on or available from such sites or resources.

You can promote any website as long as it's family-safe, or for the general internet audience. A list of what's NOT allowed:

* NO sites with multiple (more than one) pop-ups/pop-unders.
* NO porn sites, adult content sites,

* NO partial nudity (bathing suits included) websites,
* NO sites promoting violence,
* NO sites containing vulgar language
* NO Hate/racist sites
* NO Anti-Islamic, Anti-Christian, anti-Jewish, or profane websites

* NO sites of other questionable nature,
* NO banner farms, link farms, or pages that redirect traffic.
* NO sites that REQUIRE visitors to click on a banner to gain access.

Also, no banners will be accepted that use nudity, or other to send adult-related traffic to a non-adult site. A good rule of thumb: if it's something that a child shouldn't see, don't join. New member applications must be approved by a moderator before their banner is seen on our exchange.
